- User is responsible to protect the password and other confidential details in order to prevent any unauthorized access to their account.
- Any activity that takes place under any user’s account is entirely the responsibility of that particular user.
- User must ensure that the password is kept secured.
- User is expected to contact us immediately if any unusual activity is observed on their account.
- The protection of the personal information shared by the user is ensured by us.
- YarnBiz is only a platform which enables the buyer to buy products and the seller to sell their products and they have no control over the transactions that take place on the platform.
- The user will have uninterrupted and error-free access to the website. However, it will be dependent on the internet.
- The access might be removed from time to time for the maintenance of the website or for bringing about new features on the website.
- If any user is given a limited license to access the website by Bizmart Ventures Pvt. Ltd., the user must not make any changes to the website without the permission of Bizmart Ventures Pvt. Ltd.
- The user must not use the website in such a way that it may harm, damage or interrupt the website.
- The reviews, suggestions and other communication sent through the platform should not be against the law, should not contain the use of abusive language and should not be threatening to the buyer or the seller.
- It must be brought to our notice immediately if any user finds any content on the website that is offensive, abusive, obscene, pornographic, pedophilic, blasphemous or invades someone’s privacy.

- The user must acknowledge that any transactions that they make through the website are carried out at their own risk
- YarnBiz shall not be held liable under any circumstances if any damage or loss is incurred to the user by the use of this website or by relying entirely on the information available on the website.
- The user shall indemnify Bizmart Ventures Pvt. Ltd. just in case they are penalized for violating any rules or regulations.
- Bizmart Ventures Pvt. Ltd. must not be held liable and must be released from any financial damage for any actions of the user.
- All the content available on the website such as texts, images, logos belongs to Bizmart Ventures Pvt. Ltd.
- No user must copy and use any of this data in any way.
- Only people above the age of 18 i.e. those who can form a legally binding contract under the Indian Contract Act, 1872 can use YarnBiz.
- People under the age of 18 can use YarnBiz under the guidance of a parent or a guardian.
- User is required to provide a valid phone number and contact details in order to communicate with us.
- Emails, phone calls or SMS or any other mode of communication can be used to communicate with the user.
- YarnBiz is not responsible for any losses incurred by cancellation of an order for both buyers and sellers.
- The user will be subjected to any changes made to the website.
- However, if those changes need to be removed or edited, that will be done immediately.
- If any of the changes made are declared invalid for any reasons, those changes will be removed.
- YarnBiz will not be responsible if there is any failure in fulfilling the obligations of the user when the reason for the failure is not under our control.
- If the user violates any of these Terms & Conditions and it remains unnoticed, YarnBiz will still be entitled to take severe actions against it if any violation occurs in future.
- These conditions are governed by the law of India and are formed in accordance with the same.
- You agree, as we do, to submit to the exclusive jurisdiction of the courts at Mumbai.

Guidelines
- Post registration Seller can view his Profile details in My Account section & edit mandatory fields to complete profile & build seller trust on Nimbark.
- Seller can add up to 5 Mill addresses to insure the serviceability network & fulfilment channel.
- Seller can complete KYC in this section if skipped initially. Seller status is “KYC Pending” until KYC Completion is done. Once completed its changed to “Approved” & can perform relevant activities related to catalog/Pricing/Inventory.
- Seller admin can create max 5 sub roles for managing different functions pertinent to business.
- Sub-user permissions and restriction placeholder list will be provided to Seller who can decide which sub user gets what access.
- Catalog can be uploaded by seller using specific authentication.
- Seller is allowed to add new product, modify with an option to do for a single product else bulk upload using fixed standard template of Nimbark Platform.
- Inventory validation every 3 days, where Sellers have to reload their inventory to ensure updated information is on the platform. Sellers will get reminder alert on the 3rd day to ensure continuity.
- Inventory can be uploaded by seller using specific authentication & allow to modify the same once in a from till 12 a.m. to 11 p.m.
- Seller can upload Inventory, Mill location, Product ID, Lot no. wise ready stock by editing the product or “Bulk Upload” via template on Seller portal.
- For Pre-Booking orders lead times, MOQ should be mentioned mandatorily.
- Seller Inventory gets blocked once Proforma invoice is generated & restored in case of cancellation.
- If update is done on bulk template, then all old fields will be overwritten with information on bulk template. Popup calling out the same before confirmation should be visible to the Seller at the upload stage, Option to undo should be made available If done within 10 mins.
- If inventory left over post order is less than MBQ, then the product listing should be deactivated, and seller will get notification alert to action.
- Inventory with a “zero value” would be automatically deactivated from the Product Listing Page (PLP) against the seller. Automatic Product ID reactivation once inventory is added against the assigned Product ID, which will then be reflected against Sellers’ saleable products.
- Seller has to update the test report with said parameters for Buyer to view as part of the Product Catalogue listing.
- Seller has to upload the Test report for each Product ID & enclose the same when goods are shipped.
- Seller to update the Testing parameters (specifications) that the yarn will meet during product listing Lot wise. Seller will need to attach active report with each shipment against each Lot to ensure quality promised is maintained.
- Uploaded price and qty holds good.
- Price can be defined / changed only once in a day. Example: 12 am to 11.59 p.m. Any change will be possible with the date change.
- Inventory can be modified upward or downward and can be marked out of stock as required by the Seller.
- MOQ as set by the Platform to be put up for sale. Else the SKU will be marked as unavailable.
- Only the packed inventory to be put for sale on the platform.
- Orders received before 12 Noon to be picked up by the logistics partner the same day. Orders post 12 Noon will be picked up the next day.
- Goods to be in good condition and packed properly in uniform weight in nonwoven mother bags or 5/7 ply corrugate boxes.
- Payment to be made by the Platform to the seller after confirmation of receipt of the goods by the Transport/logistics partner. Payment within T+2 days of such confirmation.
- In case of any change in price because of Human error, seller shall call YarnBiz admin to modify the same as quickly as possible.
- Seller must update the test report with said parameters for Buyer to view as part of the Product Catalogue listing.
- Seller must upload the Test report for each Product ID & enclose the same when goods are shipped.
- Seller to update the Testing parameters (specifications) that the yarn will meet during product listing Lot wise. Seller will need to attach active report with each shipment against each Lot to ensure quality promised is maintained.
- Seller cannot cancel the order.
- In case Seller cancels the order, he is given a downgrade in ratings. 3 such cancels (in a calendar year) and the seller are blacklisted and blocked from selling on the platform.
- No cancelation post-dispatch of order.
- If order is cancelled before making advance payment: INR.500 Penalty.
- If Seller cancels after buyer has paid advance of 5% - then seller is penalized 5% and the same is paid to the Buyer along with full refund of advance.
